Node Locker Inc. – Terms & Conditions (Unity Node Infrastructure)
Effective Date: October 2025
These Terms & Conditions (“Terms”) govern the limited role and responsibilities of Node Locker Inc. (“Node Locker”, “we”, “our”, “us”) in connection with the Unity Node infrastructure operated by Minutes Network (d/b/a Unity). By interacting with or referencing any smart contracts deployed or maintained by Node Locker in relation to the Unity ecosystem, you (“User”, “Participant”) acknowledge and agree to the following.
1. Overview of Roles
1.1 Unity (Minutes Network) – the sole issuer and administrator of all Unity Node NFTs (“Node Operator NFTs”) and Unity Licence NFTs (“Licences”). Unity controls the Unity application, reward mechanics, and all network rules.
1.2 NFC (Nexus Fusion Capital) – facilitator of the Shared-Access Unity Node sale, allowing participants to obtain Unity Licence NFTs or related access allocations.
1.3 Node Locker Inc. – an independent infrastructure technology provider incorporated in Panama. Node Locker does not sell or broker NFTs or digital assets. Its sole function in the Unity ecosystem is to:
- Receive certain Node Operator NFTs directly from Unity;
- Deploy and maintain blockchain smart contracts that permanently lock those NFTs; and
Provide related technical maintenance for on-chain transparency.
2. Purpose of Locked Node Operator NFTs
2.1 Each Node Operator NFT represents a Unity Master Node containing up to 200 Unity Licences and associated locked MNTx and WMTx tokens.
2.2 These Node Operator NFTs are transferred by Unity to Node Locker solely for the purpose of technical locking and on-chain visibility. They are not held for the benefit of Node Locker or any third party.
2.3 Node Locker has no ownership interest in the NFTs, underlying tokens, or rewards.
3. Smart-Contract Design and Non-Custodial Structure
3.1 All Node Operator NFTs received by Node Locker are immediately transferred into immutable smart contracts (“Locking Contracts”).
3.2 The Locking Contracts contain no unlock, withdrawal, or transfer functions and are designed to prevent Node Locker or any other party from removing or reassigning the NFTs.
3.3 The Locking Contracts operate autonomously on public blockchain infrastructure. Node Locker does not hold private keys on behalf of any participant.
3.4 Unity retains the sole technical ability, through its own upgradeable NFT smart contract, to recall or reassign Node Operator NFTs if required for network maintenance or operational reasons.
4. Participant Access and Unity Licences
4.1 Participants purchasing Unity Licence NFTs or Shared-Access allocations do so directly from Unity (or through NFC as facilitator).
4.2 Participants do not receive any portion or derivative right in the Node Operator NFTs held by Node Locker.
4.3 Each participant’s licence, reward eligibility, and management interface are governed solely by Unity’s own terms and network rules, accessible through the Unity app.
5. Permanent Lock and No Guarantee of Access
5.1 The Node Operator NFTs and any MNTx or WMTx tokens embedded within them are permanently locked.
5.2 There is no guarantee that the Node Operator NFTs or the tokens associated with them will ever be unlocked, retrieved, or made accessible.
5.3 Node Locker provides no assurance that the locked assets will retain value, remain functional, or be redeemable in the future.
5.4 Participants understand and accept that permanent locking is an intentional design feature intended to ensure transparency and non-custodial operation.
6. No Custodial or Fiduciary Relationship
6.1 Node Locker acts only as a technical operator. It is not a custodian, trustee, or agent of any participant.
6.2 Nothing in these Terms creates any fiduciary duties, trust arrangements, or joint-venture relationships between Node Locker and any participant.
6.3 Participants are solely responsible for understanding and accepting the independent risks of interacting with blockchain-based systems.
7. Disclaimers
7.1 All smart-contract interactions occur at the participant’s own risk. Node Locker makes no representations or warranties, express or implied, regarding:
- Functionality, uptime, or security of any smart contract;
- Continuity or success of the Unity Network; or
- Future value, liquidity, or performance of any NFTs or tokens.
7.2 Node Locker shall not be liable for any loss, error, or malfunction resulting from blockchain operations, code vulnerabilities, third-party changes, or acts by Unity, NFC, or other entities.
8. Limitation of Liability
To the maximum extent permitted by law, Node Locker’s aggregate liability for any claim arising from or related to these Terms shall not exceed USD 100. Node Locker shall not be liable for indirect, consequential, or special damages, including loss of value, income, or data.
9. Indemnification
Participants agree to indemnify and hold harmless Node Locker, its officers, directors, and employees from any claims or liabilities arising out of their use of Unity Licences, the Unity Network, or related smart contracts.
10. Governing Law and Dispute Resolution
10.1 These Terms are governed by the laws of the Republic of Panama, without regard to conflicts-of-law principles.
10.2 Any dispute shall be resolved exclusively by binding arbitration in Panama City, under the rules of the Panama Arbitration Centre. The language of arbitration shall be English.
11. General Provisions
- Entire Agreement: These Terms constitute the entire understanding regarding Node Locker’s technical role in the Unity ecosystem.
- Severability: If any provision is found invalid, the remainder shall remain enforceable.
- Updates: Node Locker may update these Terms at any time by posting a revised version on its official website. Continued use or reference constitutes acceptance of the updated Terms.
